About these Terms

This website, www.haitirecycling.net (the “Website”), is operated by HAITI RECYCLING S.A., a Haitian société anonyme with its principal place of business at Route Nationale #1, Bon Repos, Lathan, Port-au-Prince, Haiti (“Haiti Recycling,” “we,” “us,” or “our”).

By accessing or using the Website, you agree to be bound by these Terms and Conditions of Use (the “Terms”). If you do not agree, do not use the Website. We may update these Terms from time to time; the version in effect is the version posted on this page on the date of your visit.

Nature of the Website

The Website is an informational and corporate-presentation platform. It is not a transactional platform. No order, sale, purchase, or commercial agreement is concluded through the Website. All commercial relationships with Haiti Recycling — including the purchase of recycled materials, the supply of engineered resins, and any related services — are governed exclusively by separate written agreements signed by an authorized representative of Haiti Recycling.

Information shown on the Website regarding products, specifications, processing capabilities, certifications, and partners is provided for general reference only. It does not constitute an offer to contract within the meaning of applicable Haitian, United States, European, United Kingdom, or other commercial law.

These Terms govern only your use of the Website. They do not govern, supersede, or affect the terms of any commercial supply contract, purchase order, or other written agreement between Haiti Recycling and a counterparty, each of which is governed by its own written terms (including its own governing law and dispute-resolution provisions).

Permitted Use

You may use the Website to:

  • learn about Haiti Recycling, its operations, and its product portfolio;
  • contact us through the channels indicated on the Website;
  • share publicly available content from the Website on professional or social media platforms, provided attribution to Haiti Recycling is preserved.

Prohibited Use

You agree not to:

  • use the Website for any unlawful purpose or in a manner that violates Haitian law, the law of your jurisdiction, or applicable export-control and sanctions regimes — including, without limitation, U.S. export-control laws administered by the U.S. Department of Commerce and U.S. Department of State, sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), United Nations sanctions, European Union restrictive measures, United Kingdom sanctions regulations, and Haitian export and customs regulations;
  • attempt to gain unauthorized access to the Website, its servers, or any related systems or networks;
  • transmit any virus, malware, or other harmful code through the Website;
  • scrape, harvest, mirror, or systematically reproduce content from the Website without our prior written authorization;
  • misrepresent yourself as an agent, employee, or representative of Haiti Recycling;
  • use the Website to send unsolicited commercial communications to Haiti Recycling or its personnel.

Intellectual Property

All content on the Website — including text, photographs, logos, trademarks, product names, videos, layouts, and graphic elements — is the property of Haiti Recycling or its licensors and is protected by Haitian and international intellectual property law. The names “HAITI RECYCLING,” “HAITI RECYCLING S.A.,” and the associated logo are trademarks of Haiti Recycling.

Logos of industry associations (including the Bureau of International Recycling and the Recycled Materials Association/ISRI) and of partners shown on the Website remain the property of their respective owners and are displayed solely to indicate Haiti Recycling’s membership or business relationships.

No license or right is granted to you by reason of accessing the Website. Any reproduction, distribution, modification, public display, or commercial use of Website content without our prior written authorization is prohibited.

Third-Party Links and References

The Website may contain links to third-party websites or references to third-party companies and organizations. Haiti Recycling does not control these third parties and is not responsible for their content, privacy practices, or commercial conduct. Links are provided for convenience only and do not constitute an endorsement.

No Investment, Legal, or Technical Advice; No Reliance

Information provided on the Website is general in nature. It does not constitute investment advice, legal advice, environmental compliance advice, or technical engineering advice. You should not act, or refrain from acting, based on Website content alone. For any specific commercial, technical, or compliance question, you should consult Haiti Recycling directly through the contact channels indicated on the Website, or seek independent professional advice.

You acknowledge and agree that you do not rely on any information contained on the Website for the purpose of making any commercial, technical, environmental, regulatory, or financial decision. Any such decision must be based on the contractual documentation issued by Haiti Recycling for the relevant transaction, on independent verification, and on appropriate professional advice.

Limitation of Liability

To the fullest extent permitted by applicable law, Haiti Recycling, its officers, directors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or relating to your access to or use of the Website, including but not limited to damages arising from reliance on Website content, interruption of access, or the presence of viruses or other harmful elements.

Nothing in these Terms limits liability that cannot be excluded under applicable law.

Mandatory Consumer Rights (EU/UK Visitors)

If you access the Website as a consumer resident in the European Union, the European Economic Area, or the United Kingdom, nothing in these Terms operates to exclude, restrict, or modify the application of any mandatory consumer-protection right granted to you under the law of your country of residence. To the extent any provision of these Terms would conflict with such a mandatory right, that provision shall be read down to the minimum extent necessary to preserve the right.

Governing Law

These Terms are governed by the laws of the Republic of Haiti, without regard to conflict-of-laws principles.

Dispute Resolution — Arbitration

Subject to clauses 1.12 and 1.13 below, any dispute, controversy, or claim arising out of or in connection with these Terms or your use of the Website, including any question regarding their existence, validity, interpretation, performance, breach, or termination, shall be finally resolved by arbitration administered by the Chambre de Conciliation et d’Arbitrage d’Haïti (“CCAH”) under the CCAH Arbitration Rules in force at the date the request for arbitration is filed.

The arbitration shall be conducted as follows:

  • the seat of the arbitration shall be Port-au-Prince, Haiti;
  • the language of the arbitration shall be French;
  • the tribunal shall consist of a sole arbitrator;
  • the substantive law applicable to the dispute shall be the law of the Republic of Haiti;
  • the award rendered shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.

The parties agree that recourse to arbitration is not incompatible with applying for, and obtaining, urgent or interim measures of protection from any court of competent jurisdiction prior to or during the arbitration proceedings, and that any such application shall not be deemed a waiver of the agreement to arbitrate.

Small-Value Disputes and Injunctive Relief

By way of exception to clause 1.11:

  • disputes in which the amount claimed by either party (exclusive of interest and costs) does not exceed twenty-five thousand United States dollars (USD 25,000) may, at the election of the claimant, be submitted to the competent courts of Port-au-Prince, Haiti, rather than to arbitration; and
  • Haiti Recycling reserves the right to seek injunctive, conservatory, or other equitable or interim relief — including without limitation relief in respect of intellectual-property infringement, scraping or unauthorized reproduction of Website content, breach of confidentiality, or breach of clause 1.4 (Prohibited Use) — in any court of competent jurisdiction, without first submitting such matter to arbitration.

Consumer Disputes (EU/UK Visitors)

Notwithstanding clauses 1.11 and 1.12, if you access the Website as a consumer resident in the European Union, the European Economic Area, or the United Kingdom, the agreement to arbitrate set out in clause 1.11 does not apply to you to the extent that it would deprive you of the protection of any mandatory provision of the consumer-protection law of your country of residence, including any provision conferring on you the right to bring proceedings in the courts of that country. In any such case, you may bring proceedings against Haiti Recycling, in respect of any dispute arising out of or in connection with these Terms or your use of the Website, before the courts of your country of residence or before the competent courts of Port-au-Prince, Haiti, at your option.

Scope of these Clauses

Clauses 1.10 to 1.13 govern only your use of the Website. They are without prejudice to the governing law, jurisdiction, and dispute-resolution provisions of any commercial supply contract or other written agreement between Haiti Recycling and a counterparty, each of which is governed by its own written terms.
